By merely accessing Bank of Beirut UK Ltd website or using any other Electronic Banking delivery channel (i.e. Phone Banking, Internet Banking, Self-service Banking, Mobile Banking � etc) available at BoB UK Ltd UK Ltd, you agree to be bound by the present terms and conditions which may be amended from time to time by BoB UK Ltd UK Ltd, at its discretion, without prior notice. If you do not consent to any of these terms and conditions, you must immediately discontinue your access to this website and/or use of the Electronic Banking Services provided thereon by BoB UK Ltd UK Ltd. These terms and conditions are effective starting May 1st, 2002 and apply to all Accounts, and account holders (the �Accounts Holders�) who subscribe to BoB UK Ltd UK Ltd Electronic Banking Services (the �Subscribers�). General terms related to Electronic Banking Services 1. It is a prerequisite that each subscriber (the �Subscriber� or the �Account Holder�) to the Electronic Banking Services (i) maintains an Account with BoB UK Ltd UK Ltd; and (ii) be over 18 years old. In the event that the relationship between BoB UK Ltd UK Ltd and the Subscriber resulting from the Account is terminated for any reason whatsoever, or in the event of a breach by the Subscriber of any of the terms and conditions contained herein (as amended by BoB UK Ltd UK Ltd from time to time), BoB UK Ltd UK Ltd retains the right, without the need to any prior notice or judicial or extra-judicial proceedings, to immediately cease making available the Electronic Banking Services to the Subscriber. 2. The Bank reserves the right, at its sole discretion, to accept or reject any application for any of the Electronic Banking Services without incurring any liability as a result therefrom. The Bank may further withdraw and/or cancel at any time, without providing any reason, prior notice or proceedings, all rights, facilities and privileges pertinent to any of the Electronic Banking Services. The Bank shall not be liable in any manner whatsoever for such withdrawal and/or cancellation. 3. The Subscriber undertakes to execute any documents that may be required by the Bank prior to its providing any facilities and/or modified/additional facilities under the Electronic Banking Services to the Subscriber. In the event that a Subscriber fails to comply with the above requirements, he shall not be eligible for such initial, enhanced and/or modified Electronic Banking Services and the Bank will have the right to immediately withdraw the Electronic Banking Services provided to the Subscriber, without any prior notice, proceedings or liability. 4. BoB UK Ltd UK Ltd Electronic Banking Services enable subscribers to perform some routine transactions, such as balance statement inquiries, chequebook requests and other services, all of which might be added, amended, or cancelled by the Bank, without prior notice. For additional subscriber security, dormant account balances will not be accessible through Electronic Banking Services. BoB UK Ltd UK Ltd reserves its right to limit the use of the Electronic Banking Services to specific accounts, without providing any reasons and without any prior notice to the Subscriber. 5. The Subscriber acknowledges and understands that Electronic Banking Services are not, and may not be, fully secured services, and are provided at the entire risk and responsibility of the Subscriber. Consequently, the Bank will not be responsible for any loss or damage arising directly or indirectly from any use, misuse, malfunction or failure of the Electronic Banking Services. In accordance with the Bank rules and regulations, the Subscriber shall not claim any compensation from the Bank for any losses or damages caused as a result of such use, misuse malfunction or failure. 6. The Subscriber shall indemnify the Bank for all losses and damages, howsoever caused, that may be incurred by the Bank as a result of the use or misuse by the Subscriber or by any third party of any of the Electronic Banking Services made available to the Subscriber. 7. The Subscriber acknowledges and agrees that the Bank is not liable towards the Subscriber for failure to provide any or all the facilities available under Electronic Banking Services attributable, either in whole or in part, for reasons beyond the Bank's control, including, but not limited to, any technical malfunction/breakdown. 8. The Subscriber hereby irrevocably and unconditionally agrees, without the right of objection, to any and all e-banking transactions arising from the use of the Electronic Banking Services made available to him, without limitation. 9. The Bank's records (log history, voice recording, �etc) of any e-banking transaction processed by the use of Electronic Banking Services shall be conclusive evidence of such transaction and shall be binding on the Subscriber for all purposes, including any eventual claim or litigation. These records will be retained by the Bank for a period of ten (10) years. 10. The Subscriber undertakes to pay all subscription fees, commissions, and applicable charges for any instruction or activity related to any of the Electronic Banking Services made available to him by the Bank, and the Subscriber hereby irrevocably authorizes the Bank to debit any of his/her accounts (checking, current, savings�etc) with the Bank the amount of such fees, commissions and charges. The Bank can modify such fees, commissions and charges from time to time and without prior notice to the subscriber. 11. The Subscriber acknowledges and agrees that Electronic Banking Services are the property of BoB UK Ltd UK Ltd, which has the copyright interest in all software and documentation relating to such Electronic Banking Services and any subsequent amendments thereto, including user guidelines in any form. 12. The Subscriber agrees to treat at all times the access rights, documentation and any other information related to Electronic Banking Services, in a strictly private and confidential manner. Consequently, the Subscriber shall not copy and/or reproduce and/or disclose the above rights, documentation and/or information in any form, either in whole or in part, or allow access to any other party thereto. 13. Although BoB UK Ltd uses adequate security measures, the Subscriber understands, acknowledges and agrees that the mere use of electronic delivery channels entails various risks, including, but not limited to, the risk of cyber piracy on the internet, interception of data, hacking, or any other means leading to (i) fraudulent activities on the accounts of the Subscriber or to (ii) the execution of any e-banking transaction, ...etc. and the consequences that might result therefrom. The Subscriber agrees to bear all such risks. 14. The Subscriber further understands and agrees that the use of the Electronic Banking Services cannot provide any guaranteed confidentiality as to the information relating to the Subscriber, the Account, and/or any e-banking transactions and operations in connection therewith. Thus, the Subscriber hereby expressly waives his right to the banking secrecy provided for in the law dated September 3rd, 1956, with respect to the Account and to all data, information, and transactions viewed and/or operated through the Internet and/or any other electronic or photo-electric means of Electronic Banking Services. 15. New Accounts shall not be activated, and Electronic Banking Services provided, unless all the required documentation, including (i) a hard copy of the application form, duly signed by all the Account Holders, and (ii) a hard copy of the Electronic Banking Services terms and conditions, duly signed by all the Account Holders, are received by the Bank. 16. Any requests received by the Bank through BoB UK Ltd electronic or photo-electric means (telephone, computer, internet, ATM, etc.) shall be deemed to have been rightfully authorized and originated from the Subscriber. 17. The Subscriber acknowledges and agrees that any verbal information, printouts, statements and files as well as any other form in which any information or transactions pertaining to the Account that may have been advised, downloaded and/or copied (i) shall not constitute any valid evidence against BoB UK Ltd as to their contents and shall be superseded by BoB UK Ltd�s registers and books of records; and (ii) shall not be used in any dealings with third parties in whatsoever manner. The Subscriber hereby agrees to indemnify the Bank, upon the latter�s first demand, against all losses and damages, which may be incurred by the Bank as a result of any violation by the Subscriber of the foregoing. 18. The Bank will immediately suspend all the Electronic Banking Services related to the Subscriber upon receipt of notification of his/her death. 19. Any dispute arising between the Bank and the Subscriber in connection with the �Bank of Beirut UK Ltd. Electronic Banking Services Terms And Conditions� and/or the Electronic Banking Services shall be of the exclusive competence of the Courts of London, UK. The present �Bank of Beirut UK Ltd. Electronic Banking Services Terms And Conditions� shall be governed by, and construed in accordance with, the laws applicable in UK. Personal Identification Code (Password/ Username/ Personal Identification Number (PIN), etc.) 20. The Subscriber undertakes to make personal usage of the Personal Identification Code and not to disclose it to any other party. The Personal Identification Code is deemed to be the customer�s electronic signature. 21. The Subscriber will be liable towards the Bank and third parties for all damages and losses incurred due to the misuse of the Personal Identification Code by third parties. The Subscriber undertakes to immediately compensate the Bank for any damages or losses caused to it as a result of such misuse. 22. The Subscriber undertakes to immediately notify the Bank, in writing, in the event the Personal Identification Code is lost or counterfeited; in such instances, the Subscriber remains responsible for all e-banking transactions and liable to all fees incurred, until such time when the Bank has received the Subscriber�s instructions to that effect. 23. The Bank may, without the need to any prior notice to the Subscriber, amend at any time the conditions governing the use of the Personal Identification Code. Viruses and Technical Problems 24. BoB UK Ltd Electronic Banking Services are accessed through several means, which are a part of a public system over which the Bank has no control. It is therefore the Subscriber's responsibility to insure that any computer or other device that the Subscriber utilizes to access the Electronic Banking Services is virus free, and adequately protected against other destructive or disruptive components. 25. Due to the nature of the Electronic Banking Services, the Bank will not be responsible for any loss of, or damage to, the Subscriber's data, software, computer, telecommunications or other equipment, which may be caused by using the BoB UK Ltd Electronic Banking Services. 26. The Bank will not be liable to the Subscriber if the Bank were unable to perform its obligations under this agreement due (whether directly or indirectly), but not limited to: - The failure of any machine, data processing system or transmission link; - Any period of essential maintenance, critical change, repairs, alteration to, or failure of computer systems; or - Any industrial dispute, any event beyond the Bank's control, or that of its agents or sub-contractors. 27. Electronic Banking Services: Bank of Beirut s.a.l. will not be responsible for any damages resulting from the equipment failure or breakdown of any used electronic or photo-electric communication means (telephone, computer, ATM... etc) or any emergency cases, such as, power failure, telephone line failure, closing days, natural disasters, security accidents, or any other government emergency actions. 28. The Bank has the right to send all correspondence and notices to the Subscriber through the regular mail, any private postal company, facsimile, electronic mail, SMS messages, �.etc. To this effect, the Subscriber hereby waives his right to the banking secrecy provided for in the Law dated September 3rd, 1956. 29. One Personal Identification Code will be given to a joint account; this is also applicable to a corporate account. 30. Notice or communication to the Subscriber will be made to the correspondent address and details given on the E-Banking Application Form/Account Opening Form. The Subscriber must immediately notify the Bank of any changes in address, e-mail address, phone number,� etc. Definitions Account: any account opened with the Bank, including any additional accounts. Account Holder: means the Subscriber GBP: UK Pound, the lawful currency of UK. ATM: Automated Teller Machine. Bank: Bank of Beirut UK Ltd. BoB UK Ltd: Bank of Beirut UK Ltd. Banking Hours: 8.30 a.m. to 5.00 p.m. London Time, from Monday through Friday, and 8.30 a.m. to 1:00 p.m. London Time, on Saturday. BoB UK Ltd Online: an Internet banking service which is a product of BoB UK Ltd that provides the Subscriber Online access to view and operate his/her Account through computer terminals connected to the Internet. BoB UK Ltd Direct: a phone banking service which is a product of BoB UK Ltd that allows the Subscriber to access and operate his/her Account through the automated interactive voice response (IVR) system or the service provided by BoB UK Ltd Call Center. BoB UK Ltd Market: an Internet banking service that provides BoB UK Ltd subscribers access to their Capital Markets accounts through the Internet and to place sale and/or purchase orders. Business Day: a day on which the Bank is open to transact business envisaged in these terms and conditions. Card: an ATM and/or point of sale direct debit card or credit card. Cardholder: the individual(s) to whom the Card is issued. Where the Card is requested by more than one authorized individual to an Account, all shall be jointly and severally bound by these terms and conditions. Electronic Banking Services: include, for the purpose of these terms and conditions, all operations and activities that are concluded, carried out or promoted through electronic or photo-electric delivery channels (Phone Banking, Internet Banking, Self-Service Banking, Mobile Banking,�...etc) by the Bank. E-banking transactions: refer to some routine transactions carried out through electronic or photo-electric delivery channels, such as, balance inquiries, statement inquiries, chequebook request, and other services that might be amended by the Bank, without prior notice. Mail: any correspondence delivered through postal or electronic mail. Password: password created by the Electronic Banking Services to the Subscriber in order to access the BoB UK Ltd Electronic Banking Service. PIN: Personal Identification Number. Schedule of Fees and Charges: the schedule of fees and charges levied by BoB UK Ltd, or any of its branches as applicable to normal customer transactions, and which shall from time to time be subject to change at BoB UK Ltd�s discretion and without prior notice. Security Information: means PIN, the security password, and answers to secret questions that you have selected to enable access to your account using BoB UK Ltd Electronic Banking Service. Subscriber: the Account Holder to whom any of the Electronic Banking Services are provided. Where the Service mandate is requested by more than one authorized individual to an Account, they shall be jointly and severally bound by the conditions mentioned herein. UK Local Time: GMT GBP: UK Pound, the lawful currency of the United Kingdom. User ID: user identification defined by Bank of Beirut UK Ltd. Electronic Banking Service to the Subscriber, to access the BoB UK Ltd Electronic Banking Service.
